1. Acceptance of Terms
By accessing or using the Zelium platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Zelium.
2. Description of Service
Zelium provides a multi-tenant SaaS platform for educational institutions to manage admissions, applications, payments, exams, documents, and enrollments. Each institution ("Tenant") receives an isolated workspace with configurable features, role-based access control, and dedicated data storage.
3. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to: (a) provide accurate and complete registration information, (b) notify us immediately of any unauthorized access, and (c) not share your credentials with third parties. Institution administrators are responsible for managing user access, roles, and permissions within their organization.
4. Data Privacy and Protection
We process personal data in accordance with the Digital Personal Data Protection Act, 2023 (India) and our Privacy Policy. Each institution's data is isolated at the database level using row-level security. We do not access, share, or use institution data across tenants. You retain ownership of all data you upload to the platform.
5. Data Processing Agreement
For institution administrators: Zelium acts as a Data Processor on behalf of your institution (the Data Fiduciary). You are responsible for obtaining valid consent from students and applicants before collecting their personal data through the platform. You agree to use the platform in compliance with the DPDP Act, 2023 and all applicable data protection laws.
6. Subscription and Payment Terms
The free Starter plan has usage limits as described on our pricing page. Paid plans (Professional, Enterprise) are billed monthly. Upgrades take effect immediately; downgrades take effect at the next billing cycle. All fees are in Indian Rupees (INR) and exclusive of applicable GST. No setup fees or long-term contracts are required. Refund requests must be made within 7 days of payment.
7. Student Fee Processing
Zelium facilitates student fee collection on behalf of institutions via integrated payment gateways (Razorpay, Easebuzz). Zelium is not a party to the fee transaction between the institution and the student. All fee amounts, refund policies, and payment terms are determined by the respective institution.
8. Acceptable Use
You agree not to: (a) use the Service for unlawful purposes, (b) attempt to gain unauthorized access to other tenants' data, (c) interfere with the Service's infrastructure or security, (d) upload malicious content or code, (e) use the Service to discriminate against applicants on prohibited grounds, or (f) resell or redistribute the Service without authorization.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
10. Intellectual Property
The Zelium platform, including its design, code, and documentation, is the intellectual property of Zelium. You retain all rights to the data you upload. You grant Zelium a limited license to process your data solely for the purpose of providing the Service.
11. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination: (a) you may export your data within the notice period, (b) your access will be revoked after the notice period, and (c) your data will be permanently deleted within 30 days of termination, except where retention is required by law. Termination does not affect accrued rights or obligations.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Zelium's total liability for any claim arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim. Zelium shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, revenue, or business opportunity.
13. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
